  • all activity that happens under your account;
  • making sure your outreach, campaigns, data, and messages comply with applicable laws and platform rules.

You may not use the Services to:

  • send unlawful, misleading, abusive, or harmful communications;
  • violate privacy, anti-spam, intellectual property, or other applicable laws;
  • interfere with or disrupt the Services;
  • reverse engineer, scrape, resell, or misuse the Services unless we expressly allow it.

Accounts

You may need an account to use some Services. We may suspend or terminate accounts that violate these Terms, create risk for Outify or others, or misuse the Services.

Customer Content

"Customer Content" means information, data, prompts, files, messages, campaign content, contacts, and other material you provide to or create through the Services.

You keep ownership of your Customer Content. You grant Outify permission to use Customer Content as needed to provide, secure, maintain, improve, and support the Services.

You are responsible for Customer Content and for having the rights and permissions needed to use it with the Services.

Third-Party Services

The Services may connect to third-party tools, providers, websites, mailboxes, data sources, or APIs. We are not responsible for third-party services, and your use of them may be governed by their own terms.

AI Outputs

The Services may generate AI-assisted outputs. You are responsible for reviewing outputs before using them. Outputs may be inaccurate, incomplete, or unsuitable for your intended use.

Fees

If you purchase paid Services, you agree to pay the applicable fees and taxes. Fees are non-refundable except where required by law or expressly stated otherwise.

Intellectual Property

Outify and its licensors own the Services, including software, designs, trademarks, and other intellectual property. These Terms do not transfer ownership of the Services to you.

Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Outify disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Outify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.

To the fullest extent permitted by law, Outify's total liability for any claim related to the Services will not exceed the amount you paid to Outify for the Services in the three months before the claim arose, or $100 if you did not pay for the Services.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we need to protect the Services, Outify, users, or others.

Changes

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Services after changes become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.
